תנאי שימוש באפליקציית וואלה
חשוב - יש לקרוא את תנאי שימוש אלה בעיון לפני השימוש באפליקציית וואלה ("אפליקציה"). השימוש באפליקציה ובכלל זה בתכנים המוצגים בה כפוף לתנאי השימוש הכלליים המופיעים בhttps://www.walla.co.il/terms (“תנאי השימוש של האתר“), למדיניות הפרטיות המופיעה בhttps://www.walla.co.il/privacy (“מדיניות הפרטיות“) וכן לתנאי השימוש המפורטים להלן (תנאי השימוש של האתר, מדיניות הפרטיות ותנאי השימוש להלן יקראו ביחד, “תנאי השימוש”). מטרת תנאי השימוש הינה להסדיר את היחסים בין וואלה תקשורת בע"מ, לבין כל אדם ו/או גוף ו/או גורם או מי מטעמם של אלה אשר מתקין ו/או עושה שימוש באפליקציה (“המשתמש“).
אם אינך מסכים לתנאי השימוש, נא לחץ על כפתור "ביטול" ו/או הימנע מלהתקין את האפליקציה. הנך מאשר כי אם תשתמש באפליקציה, הרי כל שימוש כזה יהווה אישור לכך שקראת את תנאי השימוש, הבנת את תוכנו והסכמת להיות כפוף לתנאיו.
השימוש באפליקציה מותר לבגירים בלבד. המשתמש מאשר בזאת כי מלאו לו 18 שנים.
וואלה שומרת לעצמה את הזכות לעדכן את תנאי השימוש מעת לעת, לפי שיקול דעתה הבלעדי וללא צורך בהודעה מראש. תוקפו של שינוי תנאי השימוש יחל מרגע פרסומו באפליקציה (בגרסתה העדכנית ביותר בכל זמן נתון).
במידה שויתור כזה אפשרי על פי הדין הרלוונטי החל, אתה מוותר בזאת על כל זכות או דרישה על פי כל דין או על פי תקנות של כל תחום שיפוט שהוא, אשר מחייבים חתימה (שאינה אלקטרונית) או מסירה של מסמכים שאינם אלקטרוניים.
אתה נוטל על עצמך את מלוא האחריות לכך שבחרת באפליקציה על מנת להשיג את התוצאות שאליהן כיוונת, להתקנת האפליקציה ולשימוש בה, ולתוצאות שתניב האפליקציה.
רישיון להתקנה ושימוש באפליקציה
וואלה מעניקה לך בזאת, ואתה מקבל, רישיון מוגבל, אישי, שאינו בלעדי, ללא זכות להמחאה, בלתי-מסחרי, שאין להעניק על בסיסו רישיונות משנה, ואשר ניתן לביטול באופן מלא, להתקין ולהשתמש באפליקציה על גבי טאבלט, מכשיר נייד, מחשב או כל מכשיר קצה אחר שבבעלותך או בשליטתך, כל זאת בהתאם לתנאים ולהוראות הנכללים בתנאי השימוש. וואלה שומרת לעצמה את כל הזכויות באפליקציה אשר לא הוענקו במסגרת תנאי השימוש במפורש.
וואלה עשויה מפעם לפעם להוציא גרסאות שדרוג של האפליקציה, ועשויה לשדרג באופן אלקטרוני ואוטומטי את גרסת האפליקציה בה אתה משתמש. אתה נותן את הסכמתך לשדרוג אוטומטי שכזה, ומסכים כי התנאים של הסכם זה יחולו על כל השדרוגים כאמור.
הנך מתחייב שלא: (i) להשתמש, לשנות או לשלב את האפליקציה או כל חלק ממנה לתוך תוכנה אחרת, או ליצור יצירות נגזרות מכל חלק של האפליקציה; (ii) למכור, לתת רישיון (או רישיון משנה), להחכיר, להמחות, להעביר, למשכן או לשתף בזכויות שלך על פי הסכם זה כל אדם אחר; (iii) להעתיק, להפיץ או לשעתק את האפליקציה; (iv) לגלות (disclose) את התוצאות של ביצועי האפליקציה, או להשתמש בתוצאות אלה עבור פיתוח או פעילויות פיתוח של תוכנה מתחרה שבבעלותך; (v) לשנות, לפרק, לעשות פעולות של הידור הפוך, הנדסה הפוכה, עדכון או שיפור של האפליקציה או ניסיון לגלות את קוד המקורשל האפליקציה, (vi) להסיר או לשנות סימני זיהוי בדבר זכויות יוצרים, סימנים מסחריים, פטנטים או הודעות מזהות אחרות כלשהן שמוכלות בתוך או על האפליקציה או על כל עותק ממנה; ו/או (vii) להשתמש בשם וואלה, בלוגו או בסימנים המסחריים שלה ללא אישור מראש בכתב מוואלה.
השימוש באפליקציה נועד לשימוש פרטי בלבד וכל שימוש מסחרי בו ללא קבלת הסכמתה מראש ובכתב של וואלה הינו אסור.
תוכנות צד ג'
האפליקציה מכילה תוכנות צד ג' ("תוכנות צד ג'") אשר כפופות לרישיונות קוד פתוח או רישיונות אחרים אשר דורשים, בין היתר, מתן הודעות ו/או תנאים והוראות נוספים. על מנת שאתה תעמוד בתנאי הרישיון של אותן תוכנות צד ג' אנא קרא את ההודעות ו/או תנאים והוראות נוספים אשר מופיעים בנספח א' להסכם זה אשר מהווים חלק בלתי נפרד מהסכם רישיון זה. בכך שאתה מאשר רישיון זה, אתה מסכים גם לתנאים ולהוראות הנוספות המופיעים שם. במקרה של סתירה בין הוראות הסכם זה והוראות הרישיונות של תוכנות צד ג', הוראות הרישיון של תוכנות צד ג' יגברו.
בנוסף האפליקציה עושה שימוש בתוכנות צד ג׳ נוספות לרבות לצורכי הצעת תכנים שעשויים לעניין אותך ולצורכי זיהוי ואיסוף נתוני מיקום, בין היתר, על מנת להעשיר את האפליקציה בתכונות (features) מבוססי מיקום. הפעלת פונקציה זו כפופה לבחירתך ולאישורך הכפול, הן על ידי הסכמה לתנאי השימוש והן על ידי מתן הרשאה אקטיבי בעת התקנת האפליקציה במכשירך. תשומת ליבך, כי אם תבחר שלא לתת הרשאה לאפליקציה לאיסוף נתוני מיקום, חלק מהיישומים לא יהיו זמינים עבורך. מידע נוסף הנוגע לאיסוף מידע ושימוש בנתונים כאמור מוצג בהרחבה תחת מדיניות הפרטיות.
התחייבויות המשתמש
אם הנך מוריד את האפליקציה מחנות מקוונת של אפליקציות צד שלישי ("מפיץ"), דע כי יתכן שהשימוש באפליקציה כפוף גם לתנאי שימוש של אותו מפיץ. אתה מאשר כי לפני הורדת האפליקציה היתה לך הזמנות לקרוא ולהבין את תנאי השימוש של המפיץ, והנך מסכים להם. הנך מצהיר שאתה לא מנוע על ידי תנאי השימוש של המפיץ ו/או על ידי הדין הרלוונטי מלהשתמש באפליקציה. אם אתה מנוע מלהצהיר הצהרה כאמור, אסור לך להתקין ו/או להשתמש באפליקציה.
חשבון והרשמה לשירותים
חלק מהשירותים באפליקציה טעונים הרשמה. במסגרת ההרשמה תידרש למסור מידע אישי, דוגמת שם, כתובת, דרכי ההתקשרות עמך או כתובת הדואר האלקטרוני שלך. הנך מתחייב למסור רק פרטים נכונים, מדויקים ומלאים אודותיך, כפי שמתבקש. הנך אחראי באופן מלא לשמירת סודיות הסיסמה של החשבון שלך ונושא באחריות המלאה והבלעדית לכל הפעולות המתבצעות בשם המשתמש והסיסמה האישית שלך. הנך מתחייב להודיע לוואלה באופן מידי על כל שימוש שאינו מורשה בחשבון שלך.
נתונים ביחס למיקום
חלק ממאפייני האפליקציה עשויים לאסוף מידע או הינם מבוססי המיקום הגיאוגרפי בו הנך נמצא ("מאפייני מיקום"). אם הנך מסכים שמאפייני המיקום כאמור יהיו פעילים הנך מסכים לאפשר לוואלה לאסוף ו/או לאתר את מיקומך הגיאוגרפי ותעשה בו שימוש בהתאם למדיניות הפרטיות המפורטים בתנאי השימוש (כמוגדר להלן). במידה שאינך מעוניין שלוואלה תהא גישה למאפייני מיקום עליך לכבות את פונקציית המיקום הגיאוגרפי במכשיר הקצה שברשותך או לסרב גישה לנתוני מיקום עם התקנת האפליקציה.
שימוש באפליקציה בכלי רכב
אם אתה משתמש באפליקציה בזמן נסיעה בכל כלי תחבורה, הנך מאשר שאתה לא הנהג.
קניין רוחני
תנאי השימוש מקנים רישיון בלבד אשר אינו מהווה מכירה של האפליקציה בשום דרך ואופן. מובהר ומודגש כי כל זכויות הבעלות והקניין הרוחני (ובכלל זה כל זכויות היוצרים, הפטנטים, זכויות הסודות המסחריים והסימנים המסחריים) באפליקציה או בכל חלק ממנה, (ובכלל זה הסרטונים), תכונות, תוספות, עיצוב האפליקציה, סימניה המסחריים וכן בכל פעולה אחרת באפליקציה הייחודית והבלעדית לוואלה) ובכל עותקיה וביחס אליהם שייכות אך ורק לוואלה, חברות קשורות שלה ו/או לשותפיה.
כל המידע המופיע על גבי האפליקציה נמצא בבעלותה הבלעדית של וואלה או של צד שלישי, שהרשה לוואלה להשתמש בו ואין לראות במידע ובשירותים המסופקים על ידה כמקנים רישיון כלשהו או זכויות כלשהן בקניין הרוחני של וואלה או של צדדים שלישיים. אין להעתיק או לפרסם את דפי האפליקציה ו/או לעשות בהם או במידע ובתכנים שבתוכם שימוש כלשהו, לרבות שימוש מסחרי, ללא הסכמתה המפורשת מראש ובכתב של וואלה.
מדיניות פרטיות
וואלה תשתמש במידע אודותיך שנאסף על ידי וואלה או אשר לוואלה תהיה גישה אליו כתוצאה מהשימוש שלך באפליקציה בהתאם למדיניות הפרטיות של וואלה אשר מהווה חלק בלתי נפרד מתנאי השימוש. הנך מסכים לשימוש במידע אודותיך בהתאם למדיניות הפרטיות. הנך מסכים שהנך מספק ו/או נותן לנו גישה למידע אודותיך מרצונך החופשי.
היעדר מצגים
וואלה מספקת את האפליקציה וכן כל מידע, תוכן (לרבות הסרטונים) ושירות המסופקים באמצעות האפליקציה כמות שהם ("AS IS"), בלי שום הצהרות או התחייבויות שהן. על וואלה לא חלה כל חובה לספק תמיכה, תחזוקה, שדרוגים, שינויים או גרסאות חדשות לאפליקציה. מובהר בזאת כי וואלה לא תישא בכל אחריות ביחס לתכנים באפליקציה (בין אם מקורם בוואלה או בצדדים שלישיים) לרבות תוכנם, מהימנותם, דיוקם, אמינותם והשפעתם על המחשבים, הטאבלטים, מכשירי נייד ו/או מכשירי קצה אחרים של משתמשי האפליקציה וכן לא תהיה אחראית לכל נזק מכל סוג ומין שהוא, לרבות אי נוחות, אבדן, עגמת נפש וכד' שייגרמו, בין באופן ישיר ובין באופן עקיף, למשתמש באפליקציה ו/או לרכושו ו/או לכל צד שלישי כתוצאה מהסתמכות ו/או שימוש בהם. וואלה מסייגת כל אחריות מפורשת או משתמעת בקשר לאפליקציה כולל בין היתר, לגבי בעלות, מסחריות, התאמה לתכלית מסוימת או אי-הפרה של זכויות צד ג'.
הזהרה: צפייה ממושכת בסרטונים (אם או ללא משקפי התלת מימד) אינה מומלצת. הצפייה אסורה לנשים בהריון, קשישים, אלכוהוליסטים, ילדים קטנים וחולי אפליפסיה. חולי אפליפסיה מודעים לכך שהם עלולים לחטוף התקף בשל חשיפה לתמונות מהבהבות. יש להפסיק באופן מידי צפייה בסרטונים במקרה של אי נוחות. ידוע למשתמש שיש אנשים שיכולים לסבול מסחרחורות קשות, התקפים, התקפים אפילפטיים או לאיבוד הכרה בגלל הבזקי אור או דפוסים, וזה עלול להתרחש בזמן שהם צופים בסרטונים או חווים מציאות וירטואלית, גם אם הם מעולם לא סבלו בעבר ואין להם היסטוריה של התקפי אפילפסיה. משתמש שיש לו תפיסה, אובדן מודעות, או סימפטום אחר המקושר למצב אפילפטי צריך להתייעץ עם רופא לפני צפייה בסרטונים. יש השתמש ב cardboard או משקפי מציאות מדומה אך ורק בסביבה בטוחה. חובה להיות תמיד להיות מודע לסביבה שלך בעת שימוש cardboard או משקפי מציאות מדומה ולהמשיך לשבת בכל העת. תדאגו מראש שאתם לא ליד אנשים, חפצים, מדרגות, מרפסות, חלונות, רהיטים, או פריטים אחרים שאתם יכולים להיתקל בהם ליפול או להפיל בעת שימוש. אין ללבוש משקפי מציאות מדומה במצבים שדורשים תשומת לב, כגון הליכה, רכיבה על אופניים, או נהיגה.
אתה מתחייב כי לא תהיה לך כל טענה, תביעה או דרישה כלפי וואלה בגין האמור לעיל. השימוש באפליקציה ייעשה אפוא על אחריותך הבלעדית והמלאה.
וואלה אינה מתחייבת לכך שהשימוש באפליקציה (לרבות השירותים המוצעים בה) יהיה בלתי נתון להפרעות ו/או יהיה חסין מפני גישה לא חוקית למחשבי וואלה, זמין בכל עת, נקי משגיאות ו/או ווירוסים או שיתאים לדרישותיך, או שכל פגם או ליקוי באפליקציה יתוקן. ווואלה לא תהא אחראית לכל נזק, ישיר או עקיף, עגמת נפש וכיו"ב שייגרמו לך או לרכושך עקב כך.
וואלה אינה מתחייבת כי מכלול השירותים המוצעים באפליקציה או שיוצעו בה יוסיפו להיות מוצעים, ויתכן ושירות כזה או אחר יישלל ללא מתן הודעה מוקדמת.
הגבלת אחריות
וואלה לא תישא בשום אחריות, בשום מקרה ומכוח כל עילה משפטית שהיא, בין אם מכוח עילה חוזית, נזיקית, או כל עילה אחרת, כלפיך או כלפי כל אדם אחר, בגין כל נזק או פיצוי, עקיף, מיוחד, עונשי או תוצאתי (incidental) מכל סוג שהוא הקשור לשימוש באפליקציה או להעדר אפשרות להשתמש בה, כולל, בין היתר, פיצוי בגין פגיעה במוניטין, אובדן הכנסות עסקיות, אובדן מידע עסקי, הפסקת עבודה, קריסת או בעיות במחשב, טאבלט, מכשיר נייד ו/או כל מכשיר קצה של משתמש האפליקציה, או כל נזק או אבדן מסחרי אחר, אפילו אם וואלה קיבלה הודעה לגבי אפשרות קיומם של נזקים כאלו, ולא תישא בשום אחריות בגין כל תביעה מצד ג' כלשהו.
מבלי לפגוע בכלליות האמור לעיל, בשום מקרה, החבות המצרפית המקסימאלית של וואלה (בין בחוזה, עוולה או כל צורה אחרת של חבות) בגין פיצויים או אובדן שנובעים מתנאי השימוש אלו או קשורים אליהם, לרבות שימוש או אי-יכולת להשתמש באפליקציה, לא תהיה גבוהה מהסכומים הכוללים שקיבלה בפועל וואלה באופן ישיר מהמשתמש בגין שימוש באפליקציה (אם בכלל) במהלך התקופה של שלושה (3) חודשים שמיד לפני התאריך שבו הוגשה התביעה.
יתכן שתחומי שיפוט אחדים לא ירשו את ההגבלה או ההחרגה של פיצויים נלווים או בגין נזק עקיף, ולפיכך בנסיבות מסוימות עלולות המגבלות או ההחרגות שלעיל לא לחול.
ידוע למשתמש כי וואלה הסכימה להתקשר עם המשתמש על בסיס הגבלת אחריות זו וכי וואלה מסתמכת על כך.
שיפוי
הנך מתחייב לשפות את וואלה, עובדיה, מנהליה או מי מטעמה בגין כל תביעה, דרישה, נזק, הפסד, אבדן רווח, תשלום או הוצאה שייגרמו להם - ובכלל זה שכ"ט עו"ד והוצאות משפט - עקב הפרת תנאי שימוש אלה ו/או הפרת החוק על ידך ו/או תביעה ו/או דרישת צד שלישי כלשהו משימוש אחר שביצעת באפליקציה.
סיום הרישיון
רישיון השימוש באפליקציה יפוג אוטומטית אם תפר תנאי כלשהו מתנאיו, ובמקרים אלו יעמדו לרשות וואלה כל הסעדים הקיימים על פי דין. בכל מקרה של סיום רישיון השימוש באפליקציה, תבצע מיד את הפעולות הבאות:
(א) תחדל משימוש באפליקציה, וכן
(ב) תסיר את האפליקציה מכל המכשירים בהם מותקנת האפליקציה וכל אמצעי האחסון האחרים שברשותך, ותשמיד את כל עותקי האפליקציה שברשותך או אשר בשליטתך. אם וואלה תבקש זאת, אזי, תוך שלושה (3) ימים תאשר כי השמדת את כל העותקים החלקיים והמלאים של האפליקציה וכל חומר נלווה אשר סופק על ידי וואלה או מי מטעמה.
התנאים לעיל שכותרתם "תוכנות צד ג'", "קניין רוחני", "העדר מצגים", "הגבלת אחריות", "שיפוי", "סיום הרישיון", "הסבה", "תנאי שימוש של אפל" ו-"שונות", יעמדו בתוקפם גם לאחר סיומו של הרישיון, תהא סיבת הסיום אשר תהא.
איסור הסבה ו/או המחאת זכויות
רישיון זה ניתן לך באופן אישי, ואינך רשאי להסב או להעביר אותו בלא אישורה הכתוב והמפורש של וואלה.
תנאי שימוש של אפל
ההוראות שלהלן יחולו על כל אפליקציה שתרכוש מחנות אי-טיונס (להלן - "תוכנה שנרכשה בחנות אי-טיונס"): מבלי לגרוע מסעיפים הגבלת אחריות והיעדר מצגים המפורטים בתנאי שימוש אלו, אתה מאשר ומסכים כי: (i) תנאי שימוש אלו נכרתו אך ורק בינך לבין וואלה, ולא עםInc Apple ("אפל"); (ii) וואלה ו/או שותפיה, ולא אפל, הינם האחראים הבלעדיים על האפליקציה והתוכן אשר נכלל בה; (iii) וואלה האחראית הבלעדית לספק שירותי תמיכה ותחזוקה לאפליקציה בכפוף לאמור בתנאי שימוש אלו או כנדרש בהתאם לדין הרלוונטי; (iv) על אפל לא חלה כל אחריות חובה לספק שירותי תחזוקה או תמיכה כלשהם בקשר לאפליקציה; (v) וואלה הינה האחראית הבלעדית לכל אחריות מוצר, בין אם מפורשת ובין אם משתמעת על פי חוק, במידה ולא הוחרגה בתנאי שימוש אלו; (vi) בכל מקרה שהאפליקציה לא תעמוד בתנאי האחריות הרלוונטית, אתה רשאי להודיע על כך לאפל, ואפל תשיב את מחיר הרכישה אשר שילמת בעד האפליקציה באמצעות חנות האפליקציות שלה; במידה המרבית המותרת על פי הדין החל, על אפל לא תחול כל אחריות אחרת בקשר לאפליקציה ועל כל התביעות, אובדנים, התחייבויות, נזקים, עלויות או הוצאות אחרות אשר מתייחסים לאי העמידה בתנאי האחריות הרלוונטיים יחולו אך ורק הוראות תנאי שימוש אלו זה וכל דין אשר חל על וואלה כספק של האפליקציה; (vii) אתה מאשר כי וואלה ולא אפל אחראית לטפל בכל תביעה שלך או של כל צד שלישי בקשר לאפליקציה או בהחזקה ו/או בשימוש שלך באפליקציה לרבות, בין השאר, אך לא רק: (1) תביעות בשל אחריות למוצרים פגומים; (2) תביעות כי האפליקציה אינה מתאימה לכל דרישה חוקית או הסדר רלוונטי; ו - (3) תביעות אשר נובעות מחקיקה בקשר להגנה על הצרכן או מחקיקה דומה אחרת; (viii) במקרה של תביעה של צד שלישי שהאפליקציה או ההחזקה או השימוש מצדך באפליקציה מפירים את זכויות הקניין הרוחני של צד שלישי, אפל לא תהיה אחראית לחקור, להגן, להסדיר את התביעה ולסלק כל הפרה כזו של תביעה של הפרה של זכויות קניין רוחני;(ix) , אפל והחברות הבנות של אפל, מהוות מוטב (כצד שלישי) של תנאי שימוש אלו, מעצם ההסכמה שלך לתנאים ולהוראות של תנאי השימוש, מוקנית לאפל זכות (ואפל תחשב כמי שקיבלה על עצמה זכות זו) לאכוף תנאי שימוש אלו נגדך, כצד שלישי שהוא מוטב של הסכם זה; (x) השימוש באפליקציה יעשה גם בכפוף לכללי השימוש שנקבעו על ידי אפל, ובכלל זה הכללים שנקבעו בתנאי השימוש Apple App Store, הכללים כאמור ייכנסו לתוקף מהמועד בו אתה מסכים לתנאי השימוש של האפליקציה; (xi) רישיון השימוש המוענק כאן מוגבל לזכות בלתי ניתנת להעברה להשתמש באפליקציה על iPhone, iPod Touch, iPad, או מוצר ממותג-Apple אחר שבבעלותך או שליטה ושמפעיל את iOS
אתה מצהיר ומתחייב כי:(i) אינך נמצא במדינה אשר כפופה לחרם אשר הוטל על ידי ממשלת ארצות הברית או אשר נקבעה על ידי ממשלת ארצות הברית כמדינה "תומכת טרור"; ו - (ii) אינך רשום ברשימה של ממשלת ארצות הברית של צדדים אסורים או מוגבלים.
בהסכמה לתנאי שימוש אלו, ככל שהחוק מתיר זאת, אתה מוותר על התחולה של כל חוק מתאים הדורש את התאמתם של תנאי שימוש אלו לשפה העברית ו/או לדרישות מקומיות נוספות. במידה והוויתור לעיל אינו מותר, אתה מסכים להיות מחויב בהסכם רישיון האפליקציה הסטנדרטי של אפל בנוגע למשתמשי קצה, המהווה חלק מתנאי השימוש של שירות Apple App Store, כפי שיתוקנו מעת לעת, המופיעים בלינק הבא:

על תנאי השימוש הללו יחולו אך ורק דיני מדינת ישראל. מקום השיפוט הבלעדי לכל עניין הנוגע לתנאי שימוש אלו והשימוש באפליקציה הינו בבתי המשפט המוסמכים באזור תל-אביב יפו.
וואלה מקפידה על קיום הוראות החוק ומכבדת את זכותם של משתמשי האפליקציה לפרטיות ולשם טוב. אם אתה סבור כי פורסם באפליקציה תוכן הפוגע בך מטעם כלשהו לרבות הפרת זכויותיך החוקיות לפי חוק זכות יוצרים, התשס"ח-2007, נא פנה אלינו לפי הפרטים שלהלן ואנו נשתדל לטפל בפנייתך בהקדם. פניות כאמור ניתן להעביר באמצעות פרטי הקשר הבאים:
